HOOP Corporate Services SA has established itself as a digital platform for fiduciaries, lawyers and companies in the efficient handling of incorporations and corporate changes. The latest release further expands the possibilities in terms of digitalization and usability. Two particularly relevant innovations, together with numerous improvements, ensure simplified processes and an even broader range of functions.

Circular resolution – legal background and digital implementation

One of the main innovations of this release is the full integration of the digital circular resolution. This feature enables companies to adopt resolutions efficiently and in compliance with the law, without requiring all participants to be physically present.

The circular resolution is a well-established instrument of Swiss corporate governance and is based on Art. 713 para. 2 CO. In particular, since the revision of company law on 1 January 2023, the possibilities have expanded considerably: resolutions can now also be adopted electronically, without the need for handwritten signatures.

With the current release, the creation, management and electronic signing of circular resolutions can be carried out directly in HOOP. This eliminates media disruptions, ensures that resolutions are documented in a legally secure and complete manner, and that automatic workflows transparently involve all authorized persons.

More flexibility in minutes extracts

The second major innovation concerns the increased flexibility in handling minutes extracts. Users now have greater control over the creation and management of these documents. A particularly practical feature is the ability to designate the secretary and the chairperson separately. This reflects the reality in many companies, where these roles are often held by different people. The new feature significantly reduces administrative hurdles and makes minute-keeping much more practical and adaptable to various organizational structures.

Further improvements at a glance

In addition to the main features, several further enhancements have been introduced:

  • Updated templates: revised templates automatically reflect the latest legal requirements and best practices.
  • Flexible address management: different addresses (e.g. registered office, correspondence address) can now be recorded easily.
  • Address autocompletion: thanks to the connection with the federal geoportal geo.admin.ch, addresses are automatically validated and completed, effectively preventing errors or incomplete entries.
  • General usability and performance improvements in the app.

Outlook

The next developments are already being planned: these include the integration of additional banks for capital payment accounts (KEK), enhanced collaboration features (such as jointly editing cases) and an extension of the functions to new scenarios, such as changes of the auditor or the transfer of company shares. Together, these steps confirm our commitment to making corporate processes increasingly simple and digital.
