Frequently asked questions

A share register (also called a share book) is the official list of all shareholders of a Swiss company with their names, addresses, and number of shares, kept by the company’s board of directors as required by Swiss law.

Every Swiss Ltd (AG) with registered shares and most LLCs (GmbHs) must maintain an up‑to‑date share register and keep it accessible in Switzerland at all times.

The board of directors (or managing partners for a GmbH) is responsible for keeping the share register correct, complete, and up to date, even if the task is delegated to a fiduciary or lawyer.

You typically record the shareholder’s name or company name, address, number, and type of shares, nominal value, and acquisition date, and in some cases, usufructuaries or pledgees.

Yes. You can capture private individuals and companies as shareholders, including their representatives and signing rights, so the register reflects the real ownership structure.
